End User License Agreement (EULA)

Carriage Models Excel Add-in

Effective Date: 6/6/2025

IMPORTANT – READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Carriage Models for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. GRANT OF LICENSE

Carriage Models grants you the following rights provided that you comply with all terms and conditions of this EULA:

a) Installation and Use: Subject to your active subscription and compliance with this EULA, you may install and use the Software on any device where you have a valid Microsoft 365 subscription and are signed in with your authorized Microsoft account.

b) Multi-Device Access: You may access the Software across multiple devices (desktop, laptop, tablet) as long as you are signed in with the same Microsoft 365 account used for your subscription.

c) Microsoft Office Integration: This Software is designed to work exclusively with Microsoft Excel and requires a valid Microsoft 365 subscription. Your use of Microsoft products is governed by Microsoft's terms of service.

d) Subscription License: This license is valid only during your active subscription period. Upon subscription termination or expiration, your right to use the Software terminates automatically.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

Limitations on Reverse Engineering, Decompilation, and Disassembly

You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

Separation of Components

The Software is licensed as a single product. Its component parts may not be separated for use on more than one computer.

Rental

You may not rent, lease, or lend the Software.

Support Services

Carriage Models may provide you with support services related to the Software ("Support Services"). Use of Support Services is governed by Carriage Models policies and programs described in the user manual, in "online" documentation, and/or in other Carriage Models-provided materials.

Subscription-Based Access

The Software operates on a subscription basis. You may not create backup copies as the Software is cloud-delivered through Microsoft AppSource and your subscription account.

Account Sharing Restrictions

You may not share your subscription credentials or allow others to use the Software under your account. Each user requires their own valid subscription.

Software Transfer

This is a personal, non-transferable subscription license. You may not transfer, assign, or sublicense your subscription rights to any third party. Upon subscription cancellation, all rights terminate immediately.

Termination

This EULA terminates automatically upon subscription expiration or cancellation. Carriage Models may also terminate this EULA immediately if you fail to comply with its terms. Upon termination, your right to use the Software ceases immediately, and any data stored through cloud features may be deleted according to our data retention policies.

3. COPYRIGHT

All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by Carriage Models or its suppliers. The Software is protected by copyright laws and international treaty provisions. Therefore, you must treat the Software like any other copyrighted material.

4. DATA COLLECTION AND PRIVACY

Your privacy is important to us. The Software may collect certain information about your use of the Software and your system to improve the product and provide better support. Any data collected is subject to our Privacy Policy, which can be found at https://www.carriagemodels.com/privacy. By using the Software, you consent to the collection and use of information in accordance with our Privacy Policy.

5. MICROSOFT OFFICE INTEGRATION AND APPSOURCE

a) Microsoft AppSource Distribution: This Software is distributed through Microsoft AppSource. Your acquisition and use through AppSource is also subject to Microsoft's AppSource terms of service and policies.

b) Excel Data Processing: The Software may access and process data from your Excel workbooks solely to provide the requested functionality. Such processing occurs locally on your device unless you explicitly use cloud synchronization features.

c) Microsoft 365 Requirements: The Software requires Microsoft Excel 2019 or later and a valid Microsoft 365 subscription. Functionality may vary depending on your Excel version and subscription type.

d) Microsoft Partnership: Carriage Models is an independent software vendor and is not affiliated with, endorsed by, or sponsored by Microsoft Corporation.

6. EXPORT RESTRICTIONS

You acknowledge that the Software is subject to export restrictions. You agree to comply with all applicable international and national laws that apply to the Software, including the U.S. Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.

7. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CARRIAGE MODELS DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL CARRIAGE MODELS OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS CARRIAGE MODELS PRODUCT, EVEN IF CARRIAGE MODELS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. LIMITATION OF LIABILITY

IN NO EVENT SHALL CARRIAGE MODELS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF CARRIAGE MODELS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of laws principles. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of Delaware.

10. SUBSCRIPTION TERMS

a) Billing: Subscription fees are billed in advance on a monthly or annual basis as selected during signup. All fees are non-refundable except as required by applicable law.

b) Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

c) Price Changes: Carriage Models may modify subscription pricing with 30 days advance notice. Changes will take effect at your next billing cycle.

d) Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

11. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and Carriage Models relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this EULA will be binding unless in writing and signed by Carriage Models.
